Terms of Service

The deal, in plain words

Version draft-2026-07-29. These terms sit alongside the Archieboy Master Terms; where the two conflict, the Master Terms govern.

What we are

ExitKit is a document-preparation service operated by Archieboy Holdings, LLC. You give us information about your business; we assemble documents from it and hand them back to you. That is the whole of the service.

What we are not

We are not a business broker. We never charge a commission, a success fee, or anything contingent on your sale. We do not market your business, solicit or screen buyers, negotiate, relay offers, or take part in your transaction. Buyers contact you directly and we never sit between you and them.

We are not a law firm and we do not provide legal advice. Nothing we produce creates an attorney-client relationship. We do not supply the purchase agreement, letter of intent, promissory note, non-competition terms, or any other transaction document — those require a licensed attorney in your state who has read your actual circumstances.

We are not an appraiser and we do not value your business. We calculate seller's discretionary earnings from figures you provide and show published multiple ranges for your industry with their sources. That is context, not an appraisal, not a valuation opinion, and not a prediction of any sale price. Your asking price is your decision.

We are not an accountant. Nothing we produce is tax or accounting advice.

Your information, and your responsibility for it

Every figure and statement in your documents comes from you, and the documents say so on their face. We do not audit, verify, or independently confirm anything you enter. You are responsible for the accuracy of what you supply and for reviewing the finished documents before you send them to anyone. You confirm you have the right to share the information you enter.

What you get, and for how long

A purchase covers one business. The document room stays open for twelve months from purchase, with revisions included and a fair-use cap of ten generation runs per kit. Earlier revisions are retained so that a document you have already sent a buyer does not vanish.

Refunds

If documents fail to generate, arrive corrupted, or contain another business's information, you get a full refund with no discussion. If something is wrong because of an error in our process, we regenerate at no charge. We do not refund because a business did not sell, or because you disagree with figures you supplied yourself — we prepare documents, we do not sell businesses, and no honest service can promise you a buyer.

Marketplace listing fees are not ours

Where you choose to list is up to you, and you pay those marketplaces directly under their own terms. We prepare the copy and show you the steps; we do not post on your behalf, and we are not responsible for their pricing, policies, or decisions about your listing.

Limits

The service is provided as is. To the fullest extent the law allows, we exclude implied warranties, and our total liability for any claim arising from the service is limited to the amount you paid us for the kit in question. We are not liable for lost profits, a sale that did not happen, a price you did or did not achieve, or any indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited.

Confidentiality

We treat your business information as confidential and do not publish it or share it with buyers. Our privacy policy sets out who processes it and for how long. The blind documents exist so you can approach buyers without naming your business — but no document can protect a confidence you disclose yourself, so read them before sending.
